Acceptance of Terms

By accessing or using Beacon's AI-powered business intelligence platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all users of the Service, including beta participants and MVP customers.

By using our Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Description of Service

Beacon is an AI-powered revenue intelligence platform designed specifically for beauty and wellness e-commerce businesses. Our Service analyzes your Shopify store data to provide:

Customer segmentation based on behavior patterns
Revenue optimization recommendations
Business intelligence insights and analytics
Performance reports and trend analysis

The Service is currently available to beauty and wellness e-commerce businesses operating in the United States only. We integrate with Shopify through CSV data uploads.

Beta and MVP Program

Beacon is currently operating in beta and MVP phases with limited user access. By participating, you acknowledge:

Service Availability: The Service may have limited availability, downtime, or service interruptions
Feature Changes: Features and functionality may change, be added, or removed without notice
Data Backup: While we maintain data security, you should retain copies of your original data
Feedback: We may request feedback to improve the Service, and you agree to provide reasonable cooperation
No SLA Guarantee: Standard service level agreements do not apply during beta/MVP phases

User Responsibilities

By using our Service, you agree to:

Accurate Data: Provide accurate and complete Shopify store information and CSV data
Legal Compliance: Use the Service in compliance with all applicable laws and regulations
Account Security: Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access
Authorized Use: Only upload data you own or have authorization to use
No Reverse Engineering: Not attempt to reverse engineer, decompile, or access our proprietary algorithms or systems
Professional Judgment: Apply your domain knowledge and professional judgment when implementing AI recommendations
Prohibited Activities: Not use the Service for illegal activities, spam, or to harm our systems or other users

Payment Terms

Beta Users: The Service is currently free for selected beta participants.

MVP Users: Some users may be charged a monthly subscription fee for a limited time during the MVP phase. Specific pricing will be communicated directly to affected users.

Future Pricing: Pricing structure will change when we transition from MVP to full commercial release. We will provide at least 30 days' notice of any pricing changes.

All fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with appropriate notice.

Data Ownership and Usage

Your Data: You retain full ownership of all data you upload to our Service, including your Shopify data, business information, and any content you provide.

Generated Insights: You own all reports, insights, and recommendations generated specifically for your business through our Service.

Our Use: We may use your data in aggregated, anonymized form to improve our algorithms and Service functionality. This aggregated data cannot be used to identify your specific business.

Data Security: We implement appropriate security measures to protect your data as outlined in our Privacy Policy and Security documentation.

AI Recommendations and Limitations

Our AI-powered recommendations are provided to assist your business decision-making. You acknowledge:

Professional Judgment Required: All recommendations should be evaluated using your professional expertise and domain knowledge
Confidence Scores: Recommendations include confidence scores to help you assess reliability
No Guarantees: We do not guarantee specific business outcomes or revenue improvements
Algorithm Evolution: Our AI models continuously improve, which may result in different recommendations over time
Context Dependency: Recommendations are based on available data and may not account for external market factors

Intellectual Property

Beacon's IP: The Service, including our software, algorithms, user interface, and all related intellectual property, remains our exclusive property.

License to You: We grant you a limited, non-exclusive, non-transferable license to use the Service according to these Terms.

Your IP: You retain all rights to your business data, trademarks, and proprietary information uploaded to our Service.

Feedback: Any feedback, suggestions, or improvements you provide may be used by us without compensation or attribution.

Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance and updates
Emergency repairs or security patches
Third-party service interruptions
Force majeure events beyond our control

During beta/MVP phases, we may need to perform more frequent updates and maintenance. We will attempt to provide reasonable notice when possible.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
WE ARE NOT RESPONSIBLE FOR BUSINESS DECISIONS MADE BASED ON AI RECOMMENDATIONS

Some jurisdictions do not allow limitation of implied warranties or liability for incidental damages, so these limitations may not apply to you.

Termination

By You: You may terminate your account at any time by contacting us or using account settings when available.

By Us: We may suspend or terminate your access immediately if you violate these Terms or for business reasons with reasonable notice.

Effect of Termination: Upon termination, your access to the Service will cease, and we will delete your data according to our data retention policy unless legally required to retain it.

Beta/MVP Termination: We reserve the right to conclude beta or MVP programs at any time with reasonable notice to participants.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in California.

You agree to submit to the personal jurisdiction of such courts for the purpose of litigating all claims or disputes.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

Email notification to your registered email address
Prominent notice on our website or Service
In-app notification when you next access the Service

Changes become effective 30 days after notification unless you terminate your account before then. Your continued use of the Service constitutes acceptance of the modified Terms.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Beacon regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
